Terms of Service
Last updated: 13 October 2026
These Terms of Service ("Terms") govern your use of Descrai. Please read them together with our Privacy Policy.
1. Who these Terms are with
These Terms are a contract between you — the business that creates a Descrai workspace, and anyone using it on your behalf — and [COMPANY LEGAL NAME], a company registered in India (CIN/LLPIN [CIN/LLPIN], GSTIN [GSTIN]), registered office [REGISTERED ADDRESS] ("Descrai", "we", "us"). They are an electronic record under the Information Technology Act, 2000 and need no physical signature.
By creating a workspace you accept these Terms. You confirm that you are at least 18, that you use Descrai for your business and not as a consumer, and that you may bind the business you act for.
2. The service
Descrai helps merchants turn product photos into catalogue listings, suggested prices, store listings and ad campaigns, and keeps stock in step across connected stores. It uses third-party AI and search providers (listed in our Privacy Policy) and connects to the stores and ad platforms you choose.
Features differ by market. India workspaces can connect Shopify and WhatsApp Business, and dispatch campaigns to Meta Ads; Google Ads and Snapchat Ads accounts can be connected while live dispatch to them is verified; TikTok, Salla and Zid are not offered in India. Gulf workspaces can also connect Salla, Zid and TikTok Ads. Features may change as we improve the product, and some connections depend on approval by the platform.
3. Your account
Keep your password safe and your details accurate. You are responsible for activity in your workspace, including by the team members you invite. Tell us promptly at [legal@your-domain] if you think your account has been misused.
4. Free trial
Every plan starts with a 7-day free trial with the full feature loop and the trial allowances shown when you sign up. Paid billing isn't switched on yet: during this launch period the trial needs no payment method, and nothing is charged. Once billing is switched on, starting a trial will require setting up a payment method with our payment provider (in India, a card or UPI e-mandate), and nothing will be charged during the trial.
If you cancel before the trial ends, you pay nothing. Once billing is switched on, if you don't cancel, your chosen plan starts when the trial ends and the first charge is taken then, after the pre-debit notice described in section 6. One free trial per business.
5. Plans, prices and GST
Plan prices are shown before you pay. India workspaces are billed in Indian rupees (INR); Gulf workspaces in Saudi riyals (SAR). Prices shown earlier on the website in US dollars are for reference only — you're billed the exact local amount shown before payment.
Prices exclude tax. For India, GST at the applicable rate (currently 18%) is added and shown separately; we issue a GST tax invoice showing our GSTIN, and if you give us your GSTIN it appears on the invoice so you can claim input tax credit. For Gulf workspaces, VAT (currently 15%) is added where it applies.
Plans include monthly allowances (product scans, ad texts, ad images and motion ads) and limits on connected stores and ad channels. Allowances reset on the 1st of each month, on monthly and yearly billing alike, and unused allowance doesn't carry over. Add-on packs, when offered, are charged as shown when you order them.
We may change plan prices with at least 30 days' notice by email. The new price applies from your first renewal after the notice period, and you can cancel before then.
6. Auto-renewal and e-mandates
Once billing is switched on, paid plans renew automatically at the end of each billing period (monthly or yearly) until you cancel, and the plan price plus tax is charged to your payment method.
In India, recurring charges run on an e-mandate under the Reserve Bank of India's e-mandate framework. Your card issuer or bank sends you a pre-debit notification at least 24 hours before each charge, with our name, the amount, the date and the reason, and you can opt out of that charge or cancel the mandate through that notice, through your bank, or by cancelling with us. The first charge, and any charge above the limit the RBI sets for charges without extra authentication (currently ₹15,000 — for example a yearly plan), needs your additional authentication, such as an OTP.
7. Cancellation and refunds
You can cancel at any time by emailing [legal@your-domain] from your account email (and, once it is available, from Settings). Cancelling stops future renewals and the e-mandate; your plan stays active until the end of the period you've paid for.
Fees already paid are not refundable, and we don't refund part-used periods, except that we refund in full a charge taken after you cancelled in time, a duplicate or wrong charge, or where the law requires a refund. Refunds go back to the original payment method within 7 working days of approval.
8. Acceptable use
You agree not to use Descrai to:
- list, advertise or sell anything illegal or counterfeit, or anything the platform you publish to prohibits;
- publish false or misleading listings or ads, or leave out details the law requires — in India, for example, under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, the Legal Metrology (Packaged Commodities) Rules, 2011 and the ASCI Code for advertising;
- upload content you don't have the rights to, or that is obscene, defamatory, hateful, harmful to children or otherwise unlawful under the Information Technology Act, 2000 or any other law;
- upload other people's personal data without a lawful basis, or use images of real people without their permission;
- break, overload, probe, reverse-engineer, scrape or resell the service, get around plan limits, or use it to build a competing product;
- break the policies of the platforms you connect, such as Meta's Advertising Standards, Google Ads policies, Snapchat's Advertising Policies, Shopify's Acceptable Use Policy or WhatsApp's Commerce Policy.
9. Your listings, prices and ad spend
You are the seller. You decide what to list, at what price, and what to advertise, and you are responsible for your products, listings, prices, the taxes on your own sales, customer service and compliance with the laws that apply to your business.
Ad spend is billed to you directly by the ad platform (Meta, Google, Snapchat and so on) under your own agreement with it, in your ad account's currency — Descrai doesn't charge, hold or refund ad spend. You set the daily budget of each campaign, and you are responsible for the budgets you approve and for pausing campaigns you no longer want. Descrai can't guarantee that a platform approves an ad, or any reach, clicks or sales.
10. AI output
Descrai uses AI to read photos, research prices, and write and design listings and ads. AI output can be wrong, incomplete, out of date or similar to other people's content, and market research reflects only what was publicly findable at the time. Performance figures shown before an ad account is connected are simulations, not results. Review everything before you publish it, charge a price or run an ad — you are responsible for what you choose to use.
To the extent the law allows, we give no warranty that AI output is accurate, fit for a particular purpose or free of third-party rights.
11. Content and intellectual property
You keep ownership of the photos, logos and information you upload and of the listings and creatives Descrai produces for you. You give us permission to store, process and send that content to our service providers and your connected accounts only as needed to run Descrai for you. You confirm you have the rights to what you upload.
Descrai itself — the software, design, brand and documentation — belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use it for your business while your subscription is active. If you send us feedback, we may use it without any obligation to you.
12. Connected platforms
When you connect a store or ad platform, you authorise Descrai to act on that account within the permissions you grant — for example to publish products, update prices and stock, or create and pause campaigns. Your use of those platforms stays subject to their own terms. We're not responsible for their availability, decisions or changes to their services, which may affect what Descrai can do. You can disconnect at any time in Settings or on the platform.
13. Privacy and data protection
Our Privacy Policy explains how we process personal data. Where we process personal data about your shoppers on your behalf, we act as your Data Processor, only on your instructions, and you are responsible for having a lawful basis for it.
14. Suspension and termination
You can stop using Descrai and ask us to delete your workspace at any time by emailing [privacy@your-domain]. We may suspend or close an account that breaks these Terms or puts the service or others at risk, and we'll tell you why unless the law prevents it.
When your account ends, you can ask for an export of your workspace data within 30 days; after that we erase it as our Privacy Policy describes. Terms that by their nature should survive — such as fees owed, liability, indemnity and governing law — survive termination.
15. Availability and warranties
We work to keep Descrai available and reliable, but provide it "as is" and "as available", without a guaranteed uptime unless we agree one in writing. To the extent the law allows, we disclaim all implied warranties.
16. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, sales, data or goodwill, and our total liability for all claims relating to Descrai is limited to the fees you paid us in the three months before the event that gave rise to the claim. Nothing in these Terms limits liability for fraud, or any liability that can't be limited by law.
17. Indemnity
You will indemnify Descrai and its officers and employees against third-party claims, penalties and reasonable costs (including legal fees) arising from your products, listings, ads and content, your use of connected platforms, or your breach of these Terms or the law.
18. Force majeure
Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, or outages of networks, cloud providers or third-party platforms.
19. Changes to these Terms
We may update these Terms. We'll post the new version here with a new date and, for significant changes, email account owners at least 30 days before they take effect. If you keep using Descrai after that, the new Terms apply; if you don't agree, cancel before then.
20. Governing law and disputes
These Terms are governed by the laws of India. The courts at [CITY], India, have exclusive jurisdiction over any dispute arising out of or relating to them.
Before going to court, please write to us at [legal@your-domain]; both sides will try in good faith to settle the dispute within 30 days. Nothing here takes away rights you have under mandatory law where you are, including Saudi law for Gulf workspaces.
21. Grievances and contact
Questions, complaints and legal notices: [legal@your-domain]. Our Grievance Officer, [GRIEVANCE OFFICER NAME] ([GRIEVANCE OFFICER EMAIL]), acknowledges complaints within 48 hours and resolves them within 30 days.
22. General
These Terms and the Privacy Policy are the whole agreement between us about Descrai and replace any earlier ones. If any part is found unenforceable, the rest stays in force. We may assign these Terms to a successor of our business; you may not assign them without our written consent. Not enforcing a right isn't a waiver of it. Notices to you are sent to your account email. The English text governs; translations are for convenience.
